An LLC (Limited Liability Company) is a highly flexible US business structure famous for "Pass-Through Taxation."

Step 1: Choose Your State (Wyoming or Delaware)

Do not register in California or New York unless you live there

Wyoming: The undisputed king for e-commerce. 0% state income tax, incredibly low annual fees ($60 to the state), and ironclad privacy (owner names are not on the public registry).

Delaware: Best if you plan to raise Venture Capital (VC) funding later. It has the most developed corporate court system but requires a flat $300 annual franchise tax.

Step 2: Hire a Registered Agent & File

A legal requirement for receiving state documents

You cannot use a foreign address to register. You must hire a Registered Agent physically located in the state.
Recommended Platforms: Northwest Registered Agent or Bizee.
The Process: Order on their site (e.g., Wyoming costs ~$150 total), input your desired company name. They will file the Articles of Organization with the state. Within 3-5 days, you'll receive your approved corporate documents digitally.

Step 3: Apply for an EIN (For Free)

The EIN (Employer Identification Number) is required to open a bank account and use Stripe.

If you don't have a US SSN/ITIN, you cannot apply online. You must download and fill out Form SS-4. Write Foreign in line 7b.

How to Submit: Use an online fax service (like HelloFax) to fax the SS-4 and a copy of your passport to the IRS at (855) 641-6935. It usually takes 2-4 weeks to receive the CP575 confirmation letter back via fax.

Step 4: Open a US Bank Account (Mercury/Relay)

Requirements: Articles of Organization, EIN letter, Passport, and proof of your business model (a working website). Approval takes 1-3 days, granting you real US Routing and Account Numbers.
